Conduct: Peter John Lashmar (“Mr Lashmar”) breached his fiduciary duty to Lentune Tax Accountants Limited (“Lentune”) from May 2012 onwards in that he caused Lentune to trade to the detriment of HM Revenue and Customs in the sum of £197,988 in that:-

  • Assessed VAT for the return periods 03/12 to 07/15 inclusive totalling £130,202 remained outstanding at liquidation;
  • PAYE income tax, National Insurance Contributions and Interest totalling £41,686 for the tax years 2012-13 to 2015-16 remained outstanding at liquidation;
  • Assessed Corporation Tax liabilities totalling £26,100 for the periods ended 28 February 2013 and 28 February 2014 remained outstanding at liquidation; Comparative Treatment
  • From available bank records for the period 28 October 2014 to 31 December 2015 Lentune made total payments of £241,430 of which £94,363 was paid to trade suppliers, £81,085 paid to staff, £17,715 in respect of credit card accounts, and £10,369 to a bank. Other payments total £19,818.
  • From available bank records for the period 28 October 2014 to 31 December 2015 sums totalling £16,597 were paid to Mr Lashmar.
  • According to records produced by HM Revenue and Customs Lentune made payments to HMRC totalling £3,501.54 in the period 1 April 2014 to 24 February 2016; Lentune’s bank statements show further payments of £1,482.99 were made to HMRC between 5 and 8 November 2015.
  • Lentune’s liabilities at liquidation total £279,797 of which the claims of HMRC amount to £197,988, Mr Lashmar £61,809, bank liabilities £11,000, trade and expense claims £4,500, and a further £4,500 due to the liquidator of a predecessor company. Between 24 March 2015 and January 2016 Peter John Lashmar (“Mr Lashmar” acted as a director of Lentune whilst subject to a Disqualification Order, without leave of the Court, contrary to Section 13 of the Company Directors Disqualification Act 1986.
