Conduct: From 1 April 2019 onwards Shakar Habib ("Mr Habib") failed to ensure that Vista Training Solutions Ltd ("Vista") maintained or preserved adequate accounting records or, in the alternative, failed to deliver up to the liquidator such records as were held, in that: Failure to maintain or preserve Mr Habib was under a legal obligation to maintain, and preserve adequate accounting records, and to deliver up these records to the liquidator when asked to do so. Mr Habib has stated on multiple occasions that all records held had been delivered up to the liquidator or were held by the company accountants. After review of such records delivered up, the liquidator found the records were inadequate, and records related to 1 April 2019 onwards were missing. Mr Habib has acknowledged in respect to invoices and receipts that such records "lost due to failure of not paying for our online storage, as everything was kept online for security reasons." In the alternative, Mr Habib was under a legal obligation to deliver up all records held or under his control to the Liquidator when required to do so. Although minimal records were delivered up, the liquidator made four separate requests to Mr Habib between 11 February 2020 and 5 August 2020 to deliver up all accounting records, but these were not provided. On 6 July and 30 December 2020, the Secretary of State also required Mr Habib deliver up all accounting records to the liquidator, but this was not done. Detriment Company Accounts filed at Companies House report that as at 31 March 2019 Vista reported: o Tangible assets of 240,101 o Cash at bank and in hand of 918,134 o Book debts of 98,122 As a result of the absence of records the Liquidator has been unable to account for the disposition of these assets. The director also claimed that as at 4 February 2020 there were total assets of 526,214.72, of which liquidator has been unable to account for 525,000. Between 1 April 2019 and 10 February 2020 bank statements indicate the company made total payments of at least 3,447,498.24. The absence of records prevents the liquidator from determining whether these are legitimate and in the company's benefit.
