Conduct: Sandra Mensah aka Monica Mensah (“Ms Mensah”) failed to ensure that Maisse Projects Limited (“Maisse”) met its financial commitments as regards to Value Added Tax and Corporation Tax and caused Maisse to continue trading whilst withdrawing funds for the benefit of herself. As a result Maisse became unable to meet its financial commitments to HM Revenue and Customs (HMRC) as and when they became due from 01 August 2013 at the latest in that: Corporation Tax

  • Maisse filed a Corporation Tax return for period 03 October 2011 to 02 October 2012 and for 03 October 2012 to 31 October 2012 which showed that £12,060 was due in respect of Corporation Tax. Maisse made payments totalling £6,000 resulting in an outstanding balance of £6,060.
  • Maisse filed a Corporation Tax return for period ended 31 October 2013 to 31 October 2016 inclusive which showed that £37,469 (plus a penalty of £1,359) was due in respect of Corporation Tax. Maisse made payments totalling £250 resulting in an outstanding balance of £38,578. VAT
  • Maisse filed VAT returns up to the quarter ending 12/13 and had an accrued VAT liability of £676.60.
  • Maisse filed a VAT returns for quarter ending 12/13 to 12/16 inclusive and for quarter ending 06/17 showing that £45,268 was due plus surcharges of £6,790. Maisse made payments totalling £3,875 against this liability resulting in an outstanding balance of £48,183.
  • Maisse filed nil VAT returns for quarters ending 03/17 and 09/17. Comparable treatment
  • The accounts for year ended 31 October 2013 shows that trade creditors were due £1, Corporation Tax was due £18,325, taxation and social security owed the company £345 and other creditors were due £1,124 due.
  • The accounts for year ended 31 October 2014 shows that trade creditors were due £1, Corporation Tax was due £18,325, taxation and social security owed the company £1,274, other creditors were due £1,127 due and £11 was due for bank loans and overdrafts.
  • The accounts for year ended 31 October 2015 shows that trade creditors were due £1, Corporation Tax was due £20,015, taxation and social security were due £2,518 and other creditors were due £1,151.
  • The accounts for year ended 31 October 2016 shows that trade creditors were due £1, Corporation Tax was due £29,125, taxation and social security were due £16,400 and other creditors were due £24,561.
  • At liquidation HMRC were due £99,291 in respect of VAT and Corporation Tax, £600 was due to trade creditors, £1 was due to a financial institution and £2,000 was due to the director.
  • The accounts for years ended 31 October 2014 and 31 October 2015 shows that the director received dividends totalling £77,000.
  • Bank statements have only been made available from 05 October 2015 onwards. In the period 05 October 2015 to 10 November 2017, receipts into Maisse’s bank account totalled £202,040 and payments totalled £193,154.
  • During this period £855 was paid in respect of VAT, a further £3,000 was paid in respect of VAT from an unknown source, £250 was paid in respect of Corporation Tax. In the same period £187,291 was paid to the director/for her benefit, £707.58 was paid to trade creditors and £2,698 was paid to unknown recipients.
