Conduct: Lawrence Stewart Elman (“Mr Elman”) failed to ensure that ADJR Limited (“ADJR”) complied with its statutory obligations to file timely returns and make payments when due and caused ADJR to trade to the detriment of H M Revenue & Customs (“HMRC”) from 2 December 2011 in respect of Corporation Tax, 7 May 2012 in respect of Value Added Tax (“VAT”) and 22 May 2013 in respect of Pay As You Earn (“PAYE”) and National Insurance Contributions (“NIC”). At liquidation HMRC are owed £71,419, in that: - VAT

  • Liabilities totalling £19,651 are outstanding for the quarters ended 03/12, 06/12, 12/12, 03/13, 06/13, 12/13, 03/14 and 06/14;
  • Due to late submission of returns, surcharges totalling £3,515 are outstanding for the quarters ended 03/12, 06/12, 09/12, 12/12, 03/13, 06/13, 12/13, 03/14, 06/14 and 09/14;
  • Assessments were raised for the quarters ended 09/14 and 12/14 for amounts totalling £1,197;
  • HMRC have submitted a claim for £24,363 in liquidation in respect of VAT. PAYE/NIC
  • As at 22 May 2013 liabilities totalling £6,355 remained outstanding for the tax year 2012/2013;
  • As at 22 May 2014 further liabilities totalling £7,392 became due and remained unpaid;
  • At liquidation HMRC have submitted a claim for £16,378 in respect of PAYE/NIC. CORPORATION TAX
  • Corporation tax of £2,745 remains unpaid from the accounts year ended 31 March 2011, due for payment on 1 December 2011;
  • Corporation tax of £20,712 remains unpaid from the accounts year ended 31 March 2012, due for payment on 1 December 2012;
  • Corporation tax of £5,061 remains unpaid from the accounts year ended 31 March 2013, due for payment on 1 December 2013;
  • HMRC have submitted a claim for £28,518 in respect of corporation tax DIFFERENT TREATMENT OF OTHER CREDITORS
  • Financial statements for the year ended 31 March 2013 and the creditors in liquidation shows HMRC liabilities of £54,177 and £71,419 respectively with trade and expense liabilities of £67,832 and £784;
  • Between 31 March 2013 and the date of liquidation on 10 November 2014 the debt outstanding to HMRC has increased by £17,242, whilst other creditors of the company have decreased by £67,048;
  • In the period 31 January 2012 to liquidation on 10 November 2014 amounts totalling £193,268 have been deposited into ADJR’s bank account. Payments from this account total £193,369 of which the following has been paid: -
  • £14,102 – Mr Elman
  • £81,770 – to a specified investor
  • £6,814 – Hotels, restaurants and bars
  • £8,000 – Cash
  • £5,000 – HMRC (from this account)
