Conduct: Between 17 April 2014 and 04 December 2014, at a time when The Farm Collective London Limited (TFC) had ceased to trade and Mr Kamara knew or ought to have known TFC was insolvent, he caused TFC to disperse of monies in the bank account (being the only remaining asset of TFC) to the detriment of creditors at Liquidation, in particular HM Revenue & Customs (HMRC) and local authorities in respect of business rates. In that:

  • He stated that TFC ceased to trade in March 2014 following the closure of the final restaurant;
  • Between 17 April 2014 and 23 April 2014, TFC received 78,741 for the sale of the lease of 91 Cowcross Street. TFC also had cash in bank of 5,534 resulting in total assets of 84,275, whereas liabilities totalled approximately 237,500;
  • Between 17 April 2014 and 11 July 2014, whilst TFC was insolvent, He made net transfers from TFCs company bank account into his personal bank account of 32,756 in repayment of monies that he had loaned to TFC. This reduced monies owed to him by TFC from 46,788 to 14,032;
  • In addition, he caused TFC to make payments of 25,238 to suppliers compared to 3,610 paid to HMRC and the local authorities, with the result that HMRC and local authorities represented the majority of liabilities at Liquidation being owed 109,091 out of total liabilities of approximately 146,697;
  • The remaining 22,746 was used to settle amounts owed to staff;
  • On 22 December 2014, HMRC petitioned to wind up TFC and the order was made on 16 February 2015. The only claims in the Liquidation have been received from HMRC and one of the local authorities.
