Conduct: Cibu Mukundan (“Mr Mukundan”) failed to ensure that Geethanjali Ltd met its financial commitments as regards Corporation Tax and caused Geethanjali Ltd to trade for his personal benefit and to the detriment of HMRC in respect of Corporation Tax. As a result the company became unable to meet its financial commitments to HMRC as and when they became due at the latest from 1 February 2012 until 6 June 2018 when a winding up order was made against Geethanjali Ltd, in that:- Corporation tax

  • The company’s total liability in respect of Corporation Tax for the year ended 30 April 2011 according to returns submitted by the company was £13,763.29.
  • Against the liability of £13,763.29 the company made one payment of £1,300.
  • The company’s liability in respect of Corporation Tax for the year ended 30 April 2012 was £9,143.90 according to returns submitted by the company. Against this liability the company made no payments.
  • The company failed to submit a return for the year ended 30 April 2013 and thereafter. For the year ended 30 April 2013 HMRC raised a determination of £11,000 against which the company made no payments.
  • HMRC has not raised assessments for the years ended 30 April 2014, 30 April 2015, 30 April 2016 or 30 April 2017 although the company continued to trade until 31 March 2017.
  • Penalties totalling £6,514.39 have been levied by HMRC in respect of the company’s failure to deliver returns in respect of Corporation Tax, in addition to which the company is liable for £4,371.89 in interest, making HMRC’s total petition debt in respect of Corporation Tax £43,493.47.
  • The debt to HMRC is the only known debt in the liquidation.
  • Records delivered up by him show that between 17 December 2013 and 31 March 2017 the company’s income was at least £334,662.74.
  • He did not keep full records of company expenditure which was processed through his personal account, so the Official Receiver cannot verify the level of his remuneration from the company.
