Conduct: Shane Ward (“Mr Ward”) failed to ensure that SW Project Services Limited (“SW”) complied with its statutory obligations to file returns correctly and pay monies as and when due as regards to Value Added Tax (“VAT”) & Corporation Tax (“CT”) and further he caused the company to continue trading whilst withdrawing funds for the benefit of himself from at latest from July 2016. In that: VAT

  • SW did not file all its VAT returns on time.
  • A total of £138,724.20 was due in respect of VAT for the periods ending 06/12 to 09/17.
  • In the same period, the company made payments totalling £29,969.84.
  • The company did not submit VAT returns for the period January 2013 to August 2017, resulting in HMRC issuing a tax assessment totalling £119,632 for the period January 2013 to September 2017 (a period of 4 years and 9 months).
  • At Liquidation, HMRC claimed £108,754.36 in respect of outstanding VAT (although the tax assessment portion for the period ending 09/17 would not have been due for payment as the company was placed into Liquidation on 09/08/2017). CT
  • A total of £65,857.50 was due in respect of CT, interest and penalties for the period ending 31/01/2014 to 31/01/2016.
  • In the same period, the company made no payments.
  • At Liquidation, HMRC claimed £65,857.50 in respect of outstanding CT, interest and penalties. COMPARATIVE TREATMENT OF HMRC In the period 28/07/2016 to 04/08/2017, SW received £166,628.83 into its bank account and paid out £172,892.98, of which a payment of £2,000 was identified as having been made to HMRC and payments totalling at least £163,155.54 were identified as having been made to him.
