Conduct: Mr Stefan Basiuk (‘Mr Basiuk’) failed to ensure that Borough Consulting Ltd (‘BCL’) met its financial commitments as regards Corporation Tax, Pay As You Earn/National Insurance Contributions (‘PAYE/NIC’) and Value Added Tax (‘VAT’) and caused BCL to trade to the detriment of HM Revenue & Customs (“HMRC”) and to his own benefit from at least 01 November 2013. In that:

  • BCL provided the director's services and had few overheads;
  • As at 31 January 2014 he had an overdrawn director's loan account ('DLA') of £19,181 after taking salary of £12,000 and dividends of £91,823;
  • In the year to 31 January 2015 his DLA had increased to £56,982 after salary of £12,000 and dividends of £90,399;
  • In the period from 01 February 2015 to BCL's liquidation, £66,847 was paid into BCL's bank account by its customers and of this £56,220 (84%) was paid to him and his connected party;
  • One payment, of £2,360, was made to HMRC in the same period.
  • HMRC have claimed £94,972 in the liquidation comprising: o Corporation Tax of £71,922 outstanding from the year to 31 January 2013, due for payment by 01 November 2013; o PAYE/NIC of £5,181 relating to underpayments from the tax year 2010/11; o VAT of £13,603 dating from an unpaid return for the quarter ended August 2013, due for payment by 07 October 2013; o Interest and surcharges
  • BCL's accounts show that the only creditor in 2014 and 2015 was HMRC and HMRC was the only creditor in the liquidation.
