Conduct: Between 22nd April 2011 and liquidation Nigel Beane (“Mr Beane”) failed to ensure that Colebrook Consulting Limited (“Colebrook”) complied with its statutory obligations to settle all its HMRC liabilities as and when due and caused Colebrook to trade to the detriment of HMRC and to his and his co-director’s benefit from 22 April 2011. In that: -

  • Colebrook failed to discharge all of its accrued PAYE/NIC liabilities for the 2010/11 tax year, leaving £1,651.50 outstanding at the date of liquidation. Such sum should have been settled by 22nd April 2011 at the latest and was therefore outstanding for some 78 months at the date of liquidation.
  • Colebrook failed to settle in full all its returned PAYE/NIC liabilities for the 2011/12 and 2012/13 tax years leaving £1,976.86 and £1,772.86 outstanding respectively at liquidation.
  • Colebrook failed to settle all its monthly liabilities for 2013/14 to part 2017/18 tax years with the result that further accrued PAYE/NIC liabilities totalling £6,049.66 remaining outstanding at the date of liquidation.
  • Colebrook also failed to settle all its Corporation Tax liabilities totalling £46,215.63 incurred in the 4 separate accounting periods from 01.10.12 to 30.09.16 respectively. Such sum also remained outstanding at the date of Colebrook’s liquidation and was outstanding from at least 1st July 2014.
  • Interest totalling £2,903.65 was raised against Colebrook by HMRC as a result of its failure to deal properly with its PAYE/NIC and Corporation Tax affairs.
  • Colebrook made payments of £8,158.22 against the accrued and assessed liabilities of £50,446.10 for the VAT periods ending 07/14 to the part VAT period ending 01/18. Of the £8,158.22 payments £1,355.85 was applied to settle the 04/14 VAT liability.
  • Colebrook’s VAT liability was therefore outstanding from at least 7th September 2014.
  • Surcharges totalling £4,221.62 were raised against Colebrook by HMRC as a result of its failure to deal properly with its VAT affairs. DETRIMENTAL TREATMENT OF HMRC
  • According to Colebrook’s statement of affairs it failed with an estimated deficiency to creditors of £88,351 of which £86,748 was owed to HMRC, the remaining £1,603 being owed to Colebrook’s accountants.
  • From 30th September 2011 to liquidation Colebrook’s outstanding HMRC liabilities increased from £13,041 to £86,748, whilst a total of at least £419,278 was paid to the directors as remuneration (£132,278) and dividends (£287,000).
