Conduct: 1. Mr S Ahmed failed to ensure that SSLL declared its true Value Added Tax (“VAT”) liabilities on VAT returns submitted to HM Revenue and Customs (“HMRC”) between the VAT quarters ended 03/10 and 03/14 and to declare its true taxable profits on corporation tax returns submitted to HMRC for the accounting year periods ended 31/08/2010 and 31/08/2014. He caused SSLL to trade to the detriment of HMRC with regards to VAT from at least May 2013 (when the quarter ended 03/13 fell overdue) until the cessation of trade in June 2016. VAT 9.1. SSLL was registered for VAT from 01/09/2009. 9.2. HMRC files indicate that out of the VAT declared by SSLL through the submission of VAT returns, SSLL has an accrued VAT liability of £21,907.95 and surcharges of £2,587.91 that remains unpaid. 9.3. Between 31/05/2013 and 07/05/2016 SSLL submitted VAT returns for the periods between 09/13 and 03/16. No payments were made to HMRC during this period. 9.4. For VAT periods from 03/11 to 03/16 SSLL submitted VAT returns late incurring surcharges totalling £5,608.87. At liquidation a surcharge liability of £2,587.91 remains outstanding. 9.5. SSLL failed to submit returns for the periods 06/16 and 09/16. HMRC subsequently raised assessments in the sum of £678.00 and £344.00 respectively, these remain unpaid. 9.6. HMRC files indicate that SSLL made no payments in relation to submitted VAT returns from at least November 2013 (the date of filed VAT Return for period 09/13) up to liquidation. A VAT liability for returns submitted by SSLL for the periods to 03/16 total £16,575.04. 9.7. SSLL failed to adhere to making continued payments against on-going VAT liabilities declared by the company by the statutory payment deadlines. 9.8. On 7 February 2012 HMRC made an announced visit to SSLL. 9.9. HMRC determined that SSLL had failed to record and declare all sales and had therefore deliberately under-declared their VAT between period 03/10 and 12/13. 9.10. On 18/09/2014 HMRC raised an Officers Assessment for additional VAT liabilities totalling £252,162. Following appeals the assessment was amended leaving total liabilities of £177,550 for 13 consecutive VAT quarters between 03/10 and 03/13 and two further VAT quarters for periods 12/13 and 03/14. In addition HMRC applied civil penalties of £100,138 and interest of £23,364.83 which remains unpaid. 9.11. At the date of liquidation SSLL’s VAT liabilities payable prior to liquidation totalled £325,548.69 comprising of VAT liabilities of £21,907.95, surcharges of £2,587.91, interest of £23,364.83, civil penalties of £100,138 and Officers VAT Assessments of £177,550. Corporation Tax 9.12. SSLL submitted Corporation Tax returns for all periods from registration to accounting year ending 31/08/2014. 9.13. On 7 February 2012 HMRC made an announced visit to SSLL. 9.14. HMRC determined that SSLL had failed to record and declare all sales and had therefore deliberately under-declared their taxable income for the accounting periods between 11/08/2009 and 31/08/2012. 9.15. On 09/06/2015 HMRC raised an Officers Assessment for additional corporation tax liabilities totalling £172,801. Following appeals by SSLL the assessment was amended leaving a total balance £175,658.56, which remains unpaid. 9.16. Corporation tax returns submitted for accounting years 2009/10, 2010/11, 2011/12, 2012/13 and 2013/14 totalling liabilities of £18,567.48 against which payments were made totalling £12,237.33, leaving a balance of £6,577.93 unpaid. 9.17. In addition HMRC raised penalties of £300 and interest of £179.95 of which a balance of £232.17 remains unpaid. 9.18. HMRC’s claim in the liquidation in respect of corporation tax is £182,468.66. Differential Treatment 9.19. SSLL’s accounts for the financial year ended 31/08/2014 show liabilities to trade creditors of £57,128 and liabilities to HMRC for PAYE/NIC and VAT of £5,330. At Liquidation trade creditor liabilities decreased to £46,818 and in comparison over the same period HMRC liabilities increased overall to £646,791. 9.20. This represents an increase in the amount listed as due to HMRC of £641,461 compared to a decrease of monies due to trade creditors of £10,310. 9.21. SSLL’s bank statements indicate that between 01/09/2014 and liquidation (11/08/2016), out of total outgoings of £443,572, no payments were identified as being paid to HMRC, whereby in the same period at least £178,205.94 have been identified as being paid to trade and expense creditors.
