Conduct: Between cessation of trading on 30 June 2017 and 31 July 2017, a period of one month, Andrew Carey (“Mr Carey”) withdrew £14,500 in funds from A Carey Engineering Services Limited for his own benefit. The withdrawal of these funds was to the detriment of A Carey’s creditors, HM Revenue & Customs (“HMRC”) in particular, who were owed £38,566 in unpaid Value Added Tax (“VAT”) and Corporation Tax (“CT”) at cessation and £44,856 in respect of all unpaid taxes by the date of liquidation. In that:

  • On 27 June 2017, he met with an Insolvency Practitioner to discuss the options for the company including entering into formal insolvency.
  • According to information given to the meeting of creditors the company ceased trading on 30 June 2017. On 30 June 2017 the sum of £4,500 was transferred from A Carey’s bank account to his own bank account. On 11 July 2017 and 31 July 2017, a total of £10,000 was also transferred to his own bank account. Corporation Tax (CT)
  • The liability for CT dates back to 1 June 2016 when payment in respect of the tax period ended 31 August 2015 should have been paid in full. At cessation of trading a balance of £256 remained outstanding in relation to that period.
  • The liability in respect of the period ended 31 August 2016 should have been paid in full by 1 June 2017. This amounted to £30,966 all of which remained outstanding at cessation. VAT
  • The sum of £7,344 remained outstanding at cessation which was in respect of the periods ended 31 January 2017 and 30 April 2017. Total HMRC liabilities at cessation were at least £38,566.
  • The total amount outstanding to all creditors at Liquidation is £45,351, of which £44,856 is owed to HMRC (CT, VAT and PAYE income tax and NI contributions) and £495 to expense creditors.
