Conduct: Steven George Emsley (hereinafter referred to as “Mr Emsley” or “the director”) caused BJS Storage & Distribution Ltd (hereinafter referred to as “BJS Storage”) to transfer a total of £218,452 to connected companies between 25 January 2017, when HMRC issued a winding up petition and 27 February 2017 when he knew or ought to have known that the company was insolvent and that these transactions were for the benefit of connected companies and to the detriment of the company’s creditors, in that:

  • BJS Storage had entered into and then defaulted on a number of “time-to-pay” arrangements with HMRC over an extended period of time. On 25 January 2017, HMRC presented a Winding Up petition in the High Court for an outstanding amount of £424,053.27.
  • 25 January 2017 to 27 February 2017, BJS Storage transferred £218,452 to two companies of which Mr Emsley was a director.
  • BJS Storage was unable to pay HMRC’s petition debt and other creditors and entered into administration on 10 March 2017 with an estimated total deficiency of £1,501,663. Having taken no action and making no payments towards the petition debt owed to HMRC, the court made a winding up order on 13 March 2017. This was rescinded on 14 March 2017 upon the administrator’s application after the administrator had paid the petition cost. BJS Storage ceased to trade shortly afterwards.
