Conduct: On 30 November 2023, after seeking professional advice, Luke Tobias Bertram (“Mr Bertram”) misappropriated assets belonging to Homebrook Ltd (“Homebrook”) totalling £658,132 causing it to become insolvent as a result. Immediately thereafter, and without notifying Homebrook’s secured lender, Mr Betram sold his shareholding in Homebrook via the ‘Atherton Scheme’ for a nominal sum, and Homebrook entered Administration on 10 May 2024 with liabilities of £624,365: • On 14 September 2020, Homebrook granted a debenture in respect of a loan, giving the lender a fixed charge over ‘…book and other debts and all other monies due and owing…’. The terms of the underlying loan agreement (“the Loan Agreement”) required Homebrook to notify the lender ‘without delay’ of any default event, including a change of control. Professional Advice • On 14 September 2023, Mr Bertram sought professional advice from his accountant regarding Homebrook and other group of companies under his control. • As of 30 September 2023, Homebrook was solvent with net assets of £44,608. This position included intercompany loan balances of £486,553 due from a company of which Mr Bertram was the ultimate beneficial owner and sole director (“Company A”), and £1,267 owed to a second company of which he was also the beneficial owner and sole director (“Company B”). • On 10 November 2023, having consulted with Restructuring and Insolvency professionals, the accountant presented his proposals to Mr Bertram, which included a winding up of the group, including Homebrook, by way of a Members Voluntary Liquidation. In this scenario, it was anticipated all intercompany balances would be removed and all creditors paid. Sale via Atherton Scheme • No later than 17 November 2023, Mr Bertram contacted the ‘Atherton Scheme’ and decided to use the scheme to sell his shareholding in Homebrook. • Documents filed at Companies House on 04 December 2023 report that Mr Bertram sold his shareholding in Homebrook to a third party and resigned his directorship effective 28 November 2023. Contemporaneous email correspondence confirms Mr Bertram did not return the paperwork required to complete the sale and resignation until after 4:00pm on 30 November 2023. • During the period 28 November to 30 November 2023 inclusive, Mr Bertram continued to act as a director of Homebrook; instructing entries in Homebrook’s accounting records, making payments from Homebrook’s bank accounts – including £22,800 transferred to the Atherton Scheme on 30 November 2023 for their fees – and taking the necessary steps to effect a sale of Homebrook. Intercompany Loan Write-Off • On or around 30 November 2023, Mr Bertram instructed Homebrook’s accountants to make an entry in the electronic accounting records writing off as ‘bad debt’ an intercompany loan of £486,553 due from Company A. Filed accounts for the year ended 30 September 2023 show Company A was solvent with net assets of £505,919. Intercompany Transfers • As of 26 September 2023, Homebrook owed £1,267 to Company B. On 30 November 2023, Mr Bertram made two transfers totalling £172,846 from Homebrook’s bank accounts to Company B, this being £171,579 more than was owed to Company B. • Company B raised an invoice dated 29 November 2023 against Homebrook in the amount of £171,408 for the ‘Provision of Management time and services from formation (25th May 2021) to date of invoice’. The document properties suggest the invoice was created on 30 November 2023 at 5:36pm in the evening. On 30 November 2023, four entries were made in Homebrook’s electronic accounting records, the net effect of which was to remove any intercompany loan balance between Homebrook and Company B. Insolvency • Upon completion of the sale via the ‘Atherton Scheme’, in breach of the Loan Agreement, Mr Bertram failed to notify the lender of the change of control. The lender later petitioned for Homebrook to be placed into Administration, and it entered Administration on 10 May 2024 with liabilities of £624,365. The Administration moved to Creditors Voluntary Liquidation on 12 May 2026.
