Conduct: 1. On 23 April 2017, whilst acting as a formally appointed director of Pangold Investments Ltd (“PIL” or “the Company”), Mrs Pauline Muldowney (“Mrs Muldowney”), also known as Mrs Pauline Gopee, caused PIL to transfer property assets with an estimated value of £2,540,981 to a former director of the Company in return for £1. The transfer was in breach of a Proceeds of Crime Act 2002 (“POCA”) Restraint Order. i. On 25 June 2015 the Financial Conduct Authority (“FCA”) obtained a POCA Restraint Order (“RO”) against PIL. ii. On 23 July 2015 the Secretary of State for Business, Energy & Industrial Strategy (“the SoS”) filed a winding up petition against PIL. Iii. On 10 October 2016 she wrote to the solicitor acting for the petitioning creditor stating “all the assets and funds of the Companies are frozen under a Restraint Order made by Southwark Crown Court on 25 June 2015.” iv. On 27 April 2017 a winding up order was made against PIL and her subsequently provided the Official Receiver with copies of a company resolution and sale contract showing that the restrained assets of PIL had been transferred away from the company on 23 April 2017. v. Despite PIL being subject to the RO and insolvency procedures, the transfer of the properties away from PIL allowed a former director of the Company to continue to collect rent from and deal with properties in which PIL held an interest.
