Conduct: From 22 May 2014, Mr Jeffrey Alexander Roberts (“Mr Roberts”) breached his fiduciary duties in that he caused or allowed White Space Communications Limited (“White Space”) to make payments or loans to connected companies, which were to the risk and ultimate detriment of creditors accrued from that point. As follows: -

  • Mr Roberts was appointed as a director on 12 June 2013. In the period between 12 June 2013 and 22 May 2014 loans of £554,492 were recorded as having been made to companies connected to Mr Roberts and these companies were debtors of White Space in the sum of £554,492.
  • During the period 22 May 2014 and 15 April 2015, further net payments of £178,662 were made to the connected companies with the sum being shown in the accounting records as owed to White Space at liquidation increasing to £831,394.
  • From 22 May 2014 onwards returns totalling at least £184,636 were submitted to HM Revenue & Customs (“HMRC”) in respect of Value Added Tax (“VAT”).. In the same period payments of £55,000 were made to HMRC in respect of VAT, such that HMRC submitted a claim for VAT totalling £183,152 (including surcharges) at liquidation.
  • Sums outstanding in respect of Pay As You Earn/National Insurance Contribution increased from £212 due following month 5 of the 2014/15 tax year (05/09/2014), to £106,369 being claimed by HMRC at liquidation.
  • Creditors outstanding at liquidation totalled at least £364,246 while loans outstanding from companies connected to the directors totalled £831,394 and were unrecoverable. Mr Roberts and his co-director have failed to provide any explanation or valid commercial reason for the loans.
