Conduct: 1. On 30 July 2020 Mr Shahram Ahmed Mohammadi (‘Mr Mohammadi’) applied for and obtained a Government-backed Bounce Back Loan (‘BBL’) of £50,000 for Toscana (NE) Ltd (‘TNE’) by providing false or knowingly inaccurate information regarding TNE’s turnover in 2019, thereby causing it to obtain £22,200 in BBL funding to which it was not entitled. Mr Mohammadi further failed to ensure that the proceeds of the loan were used in their entirety for the economic benefit of the business as required under the terms of the BBL scheme. In that: Obtaining a BBL The BBL scheme permitted a loan of up to 25% of a business’ turnover in the calendar year 2019 (or estimated turnover if it had been established after 01 January 2019), to a maximum of £50,000; TNE was incorporated in February 2018 and although it filed dormant accounts for the period to 28 February 2019, its bank statements recorded income from 01 January 2019; A total of £111,201 was paid into TNE’s bank account in the calendar year 2019, which would have entitled it to a BBL of no more than £27,800; On 30 July 2002 Mr Mohammadi completed an application form for a BBL from TNE’s bank, self-certifying that its turnover in 2019 was £240,000 and requesting a loan of £50,000. Mr Mohammadi has failed to provide any documentation to support the level of turnover claimed in the application. Disbursal of the BBL Immediately before the receipt of the BBL the bank account balance was £121; The BBL was paid into TNE’s account on 31 July 2020; Following receipt of the BBL income of £379 was received; Between 10 August and 16 November 2020 payments totalling £49,144 were made and £48,644 of these could not have been funded without the BBL; Mr Mohammadi has provided no evidence that any of the payments made were for the economic benefit of the business. At dissolution the full amount of the BBL remained outstanding and the bank was the only known creditor. 2. Mr Mohammadi caused TNE to be dissolved and struck off the register in breach of the requirements of the Companies Act 2006. In that: On 28 September 2020 Mr Mohammadi signed a notice of application that TNE be struck off the register and dissolved; The application included a declaration that none of the circumstances described in sections 1004 and 1005 of the Companies Act 2006 applied; One of these provisions is that dissolution is not permitted where a company has traded/engaged in any activity in the 3 months prior to the application; The BBL application was made on 30 July 2020, which was within 3 months of the dissolution application and the proceeds were disbursed in the period to 16 November 2020; Although TNE’s bank has confirmed that it did receive notification of the dissolution, the BBL remains outstanding in full and Mr Mohammadi was or should have been aware of that; TNE was dissolved on 05 January 2021.
